Agreement to these Terms

These Terms of Service (“Terms”) form a binding agreement between you and the operator of PoiseIQ (“PoiseIQ,” “we,” “us,” or “our”). They govern your access to and use of our websites, applications, interview and business-meeting preparation tools, live support, and related services (collectively, the “Service”).

By creating an account, purchasing a plan, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

Eligibility and accounts

You must be at least 18 years old, have reached the age of legal majority where you live, and be legally able to enter into this agreement. If you use PoiseIQ for an organization, you represent that you are authorized to bind that organization.

You must provide accurate account information, protect your password and access token, and promptly notify support of suspected unauthorized use. You are responsible for activity performed through your account unless caused by our breach of these Terms. Accounts may not be sold, rented, or shared in a way that defeats plan limits or security controls.

What PoiseIQ provides

PoiseIQ provides tools for interview and business-meeting research, preparation, question generation, practice, real-time transcription and suggestions, teleprompter support, coding practice, meeting summaries, follow-up, and post-session coaching. Features may vary by plan, device, browser, language, location, or technical availability.

The Service is an aid, not a recruiter, employer, career adviser, lawyer, financial adviser, agent, or guarantor of results. PoiseIQ does not submit applications, speak on your behalf, verify every factual statement, make hiring or commercial decisions, or create authority to bind you or an organization. You remain responsible for your answers, offers, prices, deadlines, commitments, decisions, and conduct.

AI-generated content

Suggestions, research, evaluations, scores, and other outputs are generated with automated systems and may be incomplete, inaccurate, outdated, biased, or unsuitable for your circumstances. Similar input from different users may produce similar output.

Review all output before relying on it. Confirm company facts, technical claims, legal or regulatory statements, and details about your own experience. Do not present generated material as personal experience if it is not true, and do not rely on generated content as approval to offer a price, deadline, concession, or commitment. You are responsible for ensuring every statement is accurate and authorized.

Live conversations, recording, and consent

Live-support features may capture shared-tab and microphone audio, transcribe a conversation, and generate suggestions during an interview or business meeting. Laws, employer and organization policies, platform rules, and participant expectations concerning recording, transcription, AI assistance, and disclosure vary by location and situation.

You are solely responsible for confirming that your use is lawful and permitted. Before starting live support, obtain every notice, permission, and consent required from interviewers, meeting attendees, and other participants. Do not use live support where recording, transcription, or outside assistance is prohibited. You must stop capture promptly if consent is withdrawn.

Acceptable use

You may not use the Service to:

• break a law, regulation, court order, or third-party right;
• record, monitor, identify, or profile a person without legally required notice and consent;
• misrepresent qualifications, fabricate experience, impersonate another person, or facilitate fraud or academic dishonesty;
• upload malware or content that is unlawful, abusive, discriminatory, exploitative, or infringes intellectual-property or privacy rights;
• extract data through scraping, probe security, bypass access or plan limits, reverse engineer protected parts of the Service, or disrupt its operation;
• use automated means to create accounts or place unreasonable load on the Service; or
• resell, sublicense, or provide the Service to third parties unless we have agreed in writing.

We may investigate suspected violations and remove content, restrict features, or suspend access when reasonably necessary to protect the Service or others.

Your content and permissions

You retain ownership of CVs, job materials, business documents, agendas, notes, recordings, transcripts, posts, and other content you submit (“User Content”). You represent that you have the rights and permissions needed to provide User Content and allow us to process it.

You grant PoiseIQ a worldwide, non-exclusive, royalty-free license to host, reproduce, process, transmit, adapt, and display User Content only as reasonably necessary to operate, secure, improve, and provide the Service to you. This license ends when the content is deleted, except to the extent copies must remain temporarily in backups or be retained for legal, security, or operational reasons.

Content you intentionally publish in community features may be viewed and interacted with by other users. Do not publish confidential interview or business material, trade secrets, or personal information you are not authorized to share.

Plans, balances, and payments

PoiseIQ may offer free and paid plans. Current features, prices, billing periods, usage limits, and renewal settings are shown before purchase. Taxes or network fees may apply. Except where required by law or expressly stated at purchase, fees are non-refundable once a paid period or digital service has been activated.

Crypto transactions can be irreversible. You are responsible for confirming the asset, amount, destination address, and blockchain network before sending funds. Funds sent using an unsupported asset, address, or network may be permanently lost. A displayed PoiseIQ balance is a limited Service credit unless applicable law requires otherwise; it is not a bank account, deposit account, or investment product.

If auto-renewal is enabled, we may deduct the applicable plan price from your available Service balance at renewal. You can disable auto-renewal before the renewal date; access then continues until the end of the paid period. Business Meeting paid plans are activated manually for the period shown at purchase and do not auto-renew. We may correct billing errors and reverse credits associated with failed, reversed, fraudulent, or underpaid transactions.

PoiseIQ's intellectual property

The Service, including its software, design, branding, workflows, prompts, documentation, and content we provide, is owned by PoiseIQ or its licensors and is protected by intellectual-property law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose.

If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.

Third-party services

PoiseIQ relies on third-party infrastructure, AI, speech, voice, content-delivery, meeting, research, and payment services. Your use of a third-party site or service may be governed by separate terms and policies. We do not control and are not responsible for third-party services, content, availability, or actions, although we select and manage providers with care.

Availability and changes

We work to keep PoiseIQ reliable, but the Service is not guaranteed to be uninterrupted, error-free, or available during every interview or meeting. Live features can be affected by browser permissions, network quality, meeting-platform changes, provider outages, or device limitations. Maintain your own conversation plan and do not rely on PoiseIQ as your only source of essential information.

We may add, change, limit, or discontinue features and may perform maintenance. If a change materially reduces a prepaid core feature, we will provide notice or a remedy where required by law.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, fail to pay amounts due, or use the Service in a way that threatens users, providers, or system security. Where reasonable, we will provide notice and an opportunity to correct the issue.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive—including ownership, payment obligations, disclaimers, liability limits, and dispute terms—will remain in effect.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” POISEIQ DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL SECURE AN INTERVIEW, OFFER, PROMOTION, OR OTHER EMPLOYMENT OUTCOME, OR THAT GENERATED CONTENT WILL BE ACCURATE OR ACCEPTED BY AN INTERVIEWER OR MEETING PARTICIPANT, OR THAT IT WILL PRODUCE A COMMERCIAL, NEGOTIATION, INVESTMENT, OR OTHER BUSINESS OUTCOME.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POISEIQ AND ITS AFFILIATES, PERSONNEL, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, OPPORTUNITIES, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO POISEIQ FOR THE SERVICE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $50. THESE LIMITATIONS DO NOT APPLY WHERE LIABILITY CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

General terms

These Terms and the Privacy Policy are the entire agreement concerning the Service and replace prior discussions about it. If any provision is unenforceable, it will be modified only as much as necessary and the remaining provisions will continue. Our failure to enforce a provision is not a waiver.

You may not assign these Terms without our written consent. We may assign them as part of a merger, reorganization, sale of assets, or operation of the Service. Neither party is liable for delay caused by events beyond its reasonable control.

Changes to these Terms

We may update these Terms to reflect changes to the Service, our business, or applicable law. We will post the revised Terms and update the effective date above. If a change is material, we will provide additional notice when required. Your continued use after the revised Terms take effect constitutes acceptance, except where the law requires another form of consent.
